Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Praevyn, California, USA ("Praevyn," "we," or "us"). By signing up, accessing, or using the Praevyn platform (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and authorized to bind your organization. The Service is intended for businesses and professionals, not for consumers or children.

Praevyn is a cybersecurity maturity decision-support platform. It helps organizations understand their cybersecurity posture, identify priority risks, assign remediation work, and produce executive-ready security reporting grounded in recognized frameworks.

Praevyn does not provide certification, legal advice, a penetration test, a vulnerability assessment of live systems, or a guarantee of compliance with any law, regulation, framework, contract, or insurance policy. Outputs are based on information you provide and should be reviewed by qualified personnel.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. We strongly recommend enabling multi-factor authentication.

You may not share login credentials, attempt to access accounts that are not yours, or use the Service to interfere with its operation or security.

Praevyn offers a free tier and a paid Professional tier. The Free tier includes full access to the Praevyn platform and one security assessment. The Professional tier includes everything in Free plus unlimited security assessments, and is billed at $399 per month (USD) with a 14-day free trial unless otherwise stated at signup.

• Trials. Trials convert to paid subscriptions automatically unless canceled before the trial ends. You may cancel at any time during the trial.
• Billing. Paid subscriptions are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
• Cancellation. You can cancel your subscription in the platform or by contacting support@praevyn.com. Access to unlimited assessments continues until the end of the current billing period.
• Refunds. Fees are generally non-refundable unless required by law or determined by us in our sole discretion.
• Price changes. We may change subscription fees with reasonable notice. Changes apply to your next billing cycle after the notice period.

You agree not to:

• Use the Service for unlawful, fraudulent, or malicious purposes.
• Upload viruses, malware, or other harmful code.
• Attempt to reverse engineer, scrape, or abuse the platform's APIs.
• Impersonate another person or misrepresent your affiliation with an organization.
• Use the Service in any way that violates the rights of others or applicable law.

We may suspend or terminate access for violations of these rules or for conduct that we reasonably believe harms the Service or other users.

Praevyn owns all rights, title, and interest in the Service, including its software, designs, trademarks, and content, except for data you submit. You retain ownership of your assessment data and reports. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

Feedback you provide may be used by Praevyn without obligation or compensation.

We treat your assessment data and reports as confidential and use it only as described in our Privacy Policy. You are responsible for deciding who within your organization may access the Service and what information to share.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAEVYN AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to Praevyn in the 12 months preceding the claim, or (b) $100 USD.

You agree to indemnify and hold harmless Praevyn and its officers, employees, agents, and suppliers from any claims, damages, liabilities, costs, or expenses arising out of your use of the Service, your data, or your violation of these Terms.

You may terminate your account at any time through the Settings tab or by contacting support@praevyn.com. Upon termination, your right to use the Service ceases, and we will delete your data in accordance with our Privacy Policy.

We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or if continued provision of the Service is not commercially viable.

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in San Francisco County, California. Both parties consent to the personal jurisdiction of those courts.

Before filing any claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting support@praevyn.com.

We may modify these Terms from time to time. We will notify you of material changes through the platform or by email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
